ARBITRATION NOTICE: IF YOU LIVE IN THE UNITED STATES OR IF YOUR PRINCIPAL PLACE OF BUSINESS IS IN THE UNITED STATES, YOU AND SNAP AGREE THAT, EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THE SNAP INC. TERMS OF SERVICE ARBITRATION CLAUSE, DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU AND SNAP WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS EXPLAINED IN THAT ARBITRATION CLAUSE.

IF YOU’RE USING THE SERVICES ON BEHALF OF A BUSINESS OUTSIDE OF THE UNITED STATES, THEN YOUR BUSINESS WILL BE BOUND BY THE ARBITRATION CLAUSE THAT APPEARS IN THE SNAP GROUP LIMITED TERMS OF SERVICE.

These Snap Affiliate Program Terms form a legally binding contract between you and Snap and govern your participation in the Snap Affiliate Program which remunerates pre-approved participants for promoting Snap’s business products and services in accordance with these Snap Affiliate Program Terms. These Snap Affiliate Program Terms incorporate by reference the Snap Terms of Service. All capitalized terms used but not defined in these Snap Affiliate Program Terms shall have the respective meanings set forth in the Snap Terms of Service. For the purposes of these Snap Affiliate Program Terms, “Snap” means:

• Snap Inc., if you live in or your principal place of business is located in the United States;

• Snap Group Limited Singapore Branch, if you live in or your principal place of business is located in the Asia-Pacific region; or

• Snap Group Limited, if you live or your principal place of business is located anywhere else in the world.

In order to be eligible to apply for the Snap Affiliate Program, you must meet the following eligibility requirements, and any other requirements Snap may require in its sole discretion from time to time (“Eligibility Requirements”):

1. You can participate in the Snap Affiliate Program as:

   1. an individual or an entity acting in your own capacity; or

   2. an entity acting on behalf of or working with a third party (an “Agency”).

2. You must reside (if you are an individual), or have your principal place of business (if you are an entity), in an Eligible Country. Payments are only available in the Eligible Countries and Snap may modify the list of Eligible Countries at our discretion. If you reside outside of the United States, you must be physically located outside of the United States and within an Eligible Country when performing any services in connection with the Snap Affiliate Program.

3. If you are an individual, you must be at least the age of legal majority in your jurisdiction.  If you are acting on behalf of an entity, you must be at least 18 years old (or the legal age of majority in your state, province, or country) and have the authority to bind such entity. All references to “you” and “your” in these Snap Affiliate Program Terms will mean both you as the end user and that entity.

4. If you are an Agency acting on behalf of or working with a third party who will, from time to time, be posting content as part of the Snap Affiliate Program (“Content Owner”), you must have the authority to bind such Content Owner. If you are an Agency acting on behalf of Content Owner(s), you warrant that the Tracking Link(s) (defined below) which will be provided by Snap will not be used for the purchase of advertising space for the benefit of advertisers that you (Agency or the Content Owner(s)) represent. All references to “you” and “your” in these Snap Affiliate Program Terms will be construed as references to both you as the Agency and the relevant Content Owner(s).

5. Whether you are an individual or act on behalf of an entity or on behalf of Content Owners, you acknowledge that the application to the Snap Affiliate Program and, if application is accepted, the use of the Snap Affiliate Program, will be for professional purposes within the scope of professional/business activities.

6. You must: (i) have a Snapchat account and Snapchat Business account (“Snapchat Accounts”); (ii) have an established audience (as determined by Snap in its sole discretion) on your owned and operated website and on other third party platforms; and (iii) regularly create original content including but not limited to online courses, seminars, blog posts, and videos.

7. You are neither: (i) an employee, officer, or director of Snap or its parent, subsidiaries, or affiliated companies; nor (ii) a government entity, subsidiary or affiliate of a government entity. You shall not imply more of a relationship between yourself and Snap than what is created by your participation in the Snap Affiliate Program. For example, you may not hold yourself out as an employee or authorized representative of Snap.

8. You are not participating in any other Snap incentive program. If you are, you have informed the Snapchat Affiliate Team, or received written approval to participate in both programs. 

We reserve the right to request any information necessary to verify that you meet the Eligibility Requirements. Satisfaction of the Eligibility Requirements does not guarantee acceptance into the Snap Affiliate Program. We reserve the right to remove any user from the Snap Affiliate Program at any time for any reason.

In Summary: You must meet certain minimum requirements to be eligible to apply to the Snap Affiliate Program. These include age, location, and certain account requirements. Meeting these requirements does not guarantee you will be accepted onto the Snap Affiliate Program. If you are entering the Snap Affiliate Program as an Agency on behalf of others, any reference in these terms to “you” will also apply to those third parties.

If you meet the Eligibility Requirements you may apply to participate in the Snap Affiliate Program as follows:

1. Snap may use a third party platform to manage the Snap Affiliate Program, including payments (“Platform Provider”). You must have or create an account with the Platform Provider (“Platform Provider Account”) and accept its applicable terms and policies (“Platform Provider Terms”). For more information, please see our dedicated FAQ page. You agree and acknowledge that Snap shall not be responsible or liable for any losses, damages, or obligations arising from or in connection with the Platform Provider, Platform Provider Terms or your use of the Platform Provider Account. 

2. Complete an application for the Snap Affiliate Program via the Platform Provider. You must provide Snap, and any Platform Provider, with accurate and complete information in addition to any other information that may be required. 

3. Snap may reject your application at its sole discretion without further explanation.

4. If your application is accepted, you agree that Snap may contact you over email, Snapchat and other communications in relation to the Snap Affiliate Program.

5. Your Snapchat Accounts and Platform Provider Account must be active, and in good standing (as determined by Snap, in its sole discretion).

6. By applying to participate in the Snap Affiliate Program, you agree to be bound by, and to comply with, these Snap Affiliate Program Terms. If you participate in the Snap Affiliate Program as an Agency, you are responsible for procuring compliance by Content Owners with these Snap Affiliate Program Terms and you will remain liable for any actions or omissions of any Content Owners.

In Summary: If you meet the minimum eligibility requirements you may apply to participate in the Snap Affiliate Program. You must provide us with truthful and up-to-date information. Your participation in the Snap Affiliate Program is subject to Snap’s acceptance of your application. Snap may reject your application for any reason. By applying to the Snap Affiliate Program, you agree to be bound by, and comply with, these Snap Affiliate Program Terms. If you are entering the Snap Affiliate Program as an Agency on behalf of others, you are also responsible for their compliance with these Snap Affiliate Terms.

a. If you are invited to participate in the Snap Affiliate Program, you will receive a unique tracking link provided via the Platform Provider (“Tracking Link”). You will only use the Tracking Link in original content posted by you on your owned and operated website or via your profile or account on other third party platforms which promotes Snap as an advertising platform (“Qualifying Content”). You are responsible for ensuring that your Qualifying Content complies with all applicable laws, regulations, and industry guidance, including, without limitation, statutes, ordinances, rules, public order rules, codes, regulations, regulatory guides and related business guidance, union agreements, terms and conditions of third parties to which you or the Qualifying Content are subject and the terms of use, user agreements, and other terms and conditions pertaining to the use of each applicable website or platform (“Rules”). This includes making all required advertising, endorsement or affiliate link disclosures in compliance with applicable Rules. Such advertising or affiliate link disclosures must be clear, conspicuous, and positioned in a sufficiently prominent manner within the Qualifying Content to comply with applicable Rules and ensuring that any statements you make about Snap reflect your honest opinions, beliefs, or experiences and are not false, misleading, or unsubstantiated.

b. Qualifying Content may include certain Snap trade marks and brand assets (“Snap-Provided Materials”). Subject to your compliance with these Snap Affiliate Program Terms, and Snap’s Brand Guidelines, Snap grants you a limited, non-exclusive, non-transferable, non-sublicensable (except as set out in these Snap Affiliate Platform Terms), revocable licence during the term of your participation in the Snap Affiliate Program to use the Snap-Provided Materials solely in connection with your participation in the Snap Affiliate Program as outlined herein or by Snap in writing. You agree to use such Snap-Provided Materials solely as provided, without alteration, modification, or adaptation of any kind. You further agree to use the Snap-Provided Materials only in accordance with applicable Rules. If you are an Agency, this licence may be sub-licensed to Content Owners solely in connection with their participation in the Snap Affiliate Program. If we suspend, terminate or revoke your access to the Snap Affiliate Program or discontinue, not offer or stop offering or supporting the Snap Affiliate Program at any time as set out in these Snap Affiliate Program Terms, the licence granted to you in this section will be revoked. Except as otherwise explicitly set out in these Snap Affiliate Program Terms, neither party shall use the other party’s trade names, trademarks, servicemarks, logos, or symbols, nor any adaptation or variation, in any manner whatsoever, without the other party’s express prior written consent. All such uses shall be subject to the other party’s approval, shall inure solely to the benefit of the other party and shall give the other party no rights whatsoever in such intellectual property of the other party.

c. Subject to your compliance with these Snap Affiliate Program Terms, Snap may reward you with a percentage of the revenue paid to Snap from Eligible Customers (as defined below) for running ads on the Services during the period designated in your Platform Provider Account (excluding taxes and duties), provided that such revenue is: (i) accrued within 90 days of those Eligible Customers clicking through your Tracking Link; and (ii) as a direct result of your posting of the Qualifying Content, as determined by Snap in its sole discretion, (“Eligible Revenue”). “Eligible Customers" means new advertisers that have not previously run ads on Snapchat (including via another account or a third party, including any advertising agency) as determined solely by Snap. 

d. Any payments to you will be calculated as a percentage of Eligible Revenue, with such percentage subject to change at Snap’s sole discretion. Payments shall not be made with respect to any Qualifying Content or Eligible Revenue that is not approved by Snap. 

e. Snap has the right to: (i) request and obtain details from you related to the Qualifying Content, including but not limited to information about traffic sources and methods used; and (ii) evaluate the validity and eligibility of the Eligible Customers and Eligible Revenue.

f. All payments to you are facilitated by the Platform and will be paid in accordance with the Platform Provider Terms. Payouts shall only be paid if resulting from proper use of Tracking Links as expressly provided in these Snap Affiliate Program Terms.

g. As between you and Snap, Snap will own all right, title and interest (including all intellectual property rights) in and to all information that is created or collected in connection with these Snap Affiliate Program Terms, including, without limitation; (i) any contact information collected from any customer who interacts with a Tracking Link; and (ii) any information regarding click-through rates or product(s) purchased by such customers.

h. You may not distribute, license, resell, or otherwise use Tracking Links or Snap-Provided Content unless authorized by Snap’s written permission.

In Summary: If you're invited to the Snap Affiliate Program, you'll receive a Tracking Link to use in your original content promoting Snap. You are responsible for ensuring your content is compliant with all applicable law, regulations, and guidance, including with respect to inclusion of disclosures. You  have a limited right to use certain Snap trade marks and brand assets in your content, subject to compliance with these terms and the Snap Brand Guidelines. You may earn a commission on revenue from new advertisers who click your link and run ads on Snap, subject to Snap's sole discretion and approval. Payment amounts and eligibility are determined and adjusted by Snap and facilitated through the Platform Provider according to their terms.

a. Snap may exclude any revenue from Eligible Revenue attributed to you that Snap determines has accrued in connection with the following (collectively, the “Prohibited Activities”):

• Content which does not comply with Snap’s terms, including Community Guidelines and Brand Guidelines, or content otherwise considered offensive, or containing questionable or controversial subject matter in Snap’s sole discretion.

• Content which includes spam.

• Use of unsolicited email or inappropriate newsgroup postings to promote the Qualifying Content, autospawning of browsers, or automatic redirecting of visitors, blind text links, misleading links, or forced clicks.

• Payment of money or other inducements to third parties or the offer to trade views.

• False representations to prospective advertisers, including use of deceptive redirecting links.

• Attempts to impersonate Snap.

• Generation of referrals using bots or other non-human traffic, cookie stuffing, or use of false or misleading links.

• Snapchat Accounts created or owned by you.

• Any third-party networks or sub-affiliate networks without Snap’s prior written consent.

• Content that contains any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, or surreptitiously intercept or expropriate any system, data, or personal information.

• Content that contains software or use technology that attempts to intercept, divert, or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website.

• Content that violates or infringes any intellectual property rights of third parties.

• Content that has been created, either in part or in its entirety, as a result of your use of any robot, spider, crawler, scraper, script, software, or other automated or semi-automated means, processes or interfaces to access, scrape, extract or copy the Services, including any user data, content or other data contained in the Services.

• Websites or platforms that: (i) require a username and password to access; (ii) are under construction; or (iii) require software downloads to users’ devices.

b. Snap may exclude from Eligible Revenue any spend generated from:

• Any source that Snap determines, in its sole discretion, is not attributable to the advertiser’s last interaction (i.e. last touch attribution) with the affiliate.

• Transactions on Snap Promote campaigns. 

• Incentivized coupon or code offer websites including but not limited to discount sites, click to display, get paid to click, or offer code sites.

• Search engine or other pay-per-click keywords (e.g. Google Ads), trademarks, or domain names that use Snap’s or its advertisers’ trademarks or the names or other intellectual property, this includes any variations or misspellings that could be deceptively or confusingly similar to Snap’s or its advertisers’ trademarks.

• Eligible Customers you represent.

• Advertisers subject to enforcement by Snap including suspension or cancellation of any of their Snapchat Accounts.

• Orders that are either unpaid or subject to cancellation by the advertiser.

(c) You will not carry out any Prohibited Activities.

In Summary: Snap may exclude revenue from Eligible Revenue if it's related to (amongst other things) spam, guidelines violations, deceptive practices, or automated traffic. This includes revenue from accounts you own, impersonations, and third-party networks without Snap's consent. Additionally, Snap may exclude revenue from non-attributable sources, incentivized websites, trademark violations, advertiser suspensions, Eligible Customers you represent, or unpaid and canceled orders.

You agree and acknowledge that you have sole responsibility and liability for any and all taxes, duties, or fees relating to any payments you may receive pursuant to these Snap Affiliate Program Terms. Payments are inclusive of any applicable sales, use, excise, value added, goods and services or similar tax payable to you. If, under applicable law, taxes are required to be deducted or withheld from any Payments to you, then Snap, its affiliate, or its Platform Provider may deduct such taxes from the amount owed to you and pay such taxes to the appropriate taxing authority as required by applicable law. You agree and acknowledge that Payment to you as reduced by such deductions or withholdings will constitute full payment and settlement to you of amounts payable under these Snap Affiliate Program Terms. As part of setting up a valid Payment Account, you will provide Snap, its subsidiaries, affiliates, and any Platform Provider with any forms or documents that may be required to satisfy any information reporting or withholding tax obligations under these Snap Affiliate Program Terms. 

In Summary: You are responsible for all taxes, duties, or fees related to your Payments. We can make deductions required by applicable law. You will provide any forms or documents required for these purposes.

You and Snap (for the purpose of this section, the “Parties”) agree to comply, and require that anyone acting on the Parties’ behalf, comply with all applicable anti-corruption laws, rules, and regulations. That compliance will include, among other things, the following: the Parties and anyone acting on their behalf will not give, promise to give, offer, agree to give, or authorize the direct or indirect giving, of money or any other thing of value to anyone to induce or reward favorable action, forbearance of action, or the exercise of influence. Notwithstanding any other provision of these Snap Affiliate Program Terms, the non-breaching party may terminate these Snap Affiliate Program Terms upon notice if the other party breaches this provision.

The Parties agree that their performance under these Snap Affiliate Program Terms will comply with all applicable economic sanctions, export control laws, and anti-boycott laws. The Parties represent and warrant that (1) neither party (or any parent, subsidiary, or affiliate involved in performing these Snap Affiliate Program Terms) is included on any restricted party list maintained by any relevant government authority, including by way of example the U.S. Specially Designated Nationals List and Foreign Sanctions Evaders List administered by the U.S. Treasury’s Office of Foreign Assets Control and the Denied Parties List, Unverified List and Entity List maintained by the U.S. Bureau of Industry and Security (“Restricted Party Lists”), and (2) such party is not owned or controlled by anyone on a Restricted Party List. In performing these Snap Affiliate Program Terms, such party will not do business with or provide goods or services, directly or indirectly, to anyone on the Restricted Party Lists or to any country with which trade is prohibited by any applicable sanctions. You agree that Snap will not be required to act or abstain from action in connection with these Snap Affiliate Program Terms if such action or abstention would violate the laws of any applicable jurisdiction.

You will not be eligible for Payment if you (or business entity, if applicable) do not pass our, or our Platform Provider’s, compliance review. Such review may include, but is not limited to, a check to determine if you appear on any Restricted Party List maintained by any relevant government authority. In addition to any other uses described in these Snap Affiliate Program Terms, the information you provide to us may be shared with third parties in order to verify your identity, conduct our compliance review, and complete the payment process.  

In Summary: Both you and Snap will comply with applicable anti-corruption laws, economic sanctions, export control laws, and anti-boycott laws, as set out above. In order to be eligible to receive payment, you need to pass a compliance review.

a. You will not disclose Snap Confidential Information to any third party without Snap’s prior written consent. You may disclose Snap Confidential Information when compelled to do so by law if you provide Snap reasonable prior notice, unless a court orders that Snap not receive notice.

b. You will promptly delete all Snap Confidential Information that is in your possession or control upon request by Snap or upon termination of these Snap Affiliate Program Terms. Upon Snap’s request, you will certify your deletion and destruction.

“Snap Confidential Information” means any materials, documentation, communication, and information that are marked confidential or would reasonably be understood to be confidential to Snap, including, for clarification, pricing, any amounts payable by you or Snap, and any order forms, addendums, or amendments between you and Snap or Snap’s affiliates, but does not include any information that you already rightfully knew, that becomes public through no fault of yours, that was independently developed by you, or that was lawfully given to you by a third party who was under no obligation of confidentiality.

a. You must stay in compliance with these Snap Affiliate Program Terms in order to participate in the Snap Affiliate Program. If you are not in compliance with these Snap Affiliate Program Terms, you will no longer be able to participate in the Snap Affiliate Program and we reserve the right to suspend or permanently revoke your access to the Services, in addition to taking any other action that we deem appropriate. To the extent permitted by law, we further reserve the right to withhold (and you agree that you will not be eligible to receive) any payments under these Snap Affiliate Program Terms for non-compliance with these Snap Affiliate Program Terms. If at any time you don’t agree to any portion of these Snap Affiliate Program Terms, you must stop using the applicable Services immediately.   

b. We reserve the right to terminate your participation in the Snap Affiliate Program with immediate effect if we suspect you have: (i) breached any applicable laws or regulations; (ii) breached these Snap Affiliate Program Terms; (iii) carried out any conduct that Snap determines, in its sole discretion, could bring Snap or its affiliates into disrepute; or (iv) carried out any Prohibited Activities.

c. We reserve the right to discontinue, modify, not offer, or stop offering or supporting the Snap Affiliate Program or any of the Services at any time and for any reason, in our sole discretion, without prior notice or liability to you, to the maximum extent permitted by applicable laws. We do not guarantee that any of the foregoing will be available at all times or at any given time, or that we will continue to offer any of the foregoing for any particular length of time. You should not rely on the continued availability of the Snap Affiliate Program or any of the Services for any reason.

In Summary: We can restrict or terminate your involvement in the Snap Affiliate Program or modify, suspend, or terminate the Snap Affiliate Program at any time for any reason.

a. You represent and warrant that you: (i) have the authority to participate in the Snap Affiliate Program and enter into these Snap Affiliate Program Terms and sufficient rights to grant any licenses expressed herein; (ii) shall, in the performance of all of your rights and obligations under these Snap Affiliate Program Terms, comply with the Rules; and (iii) shall not carry out any Prohibited Activities.

b. These Snap Affiliate Program Terms do not establish any agency, partnership, or joint venture between you and Snap.

c. In any action arising out of or relating to these Snap Affiliate Program Terms or the Snap Affiliate Program, the prevailing party will be entitled to recover its reasonable legal fees and costs.

d. Snap may update these Snap Affiliate Program Terms at any time. Any changes to these Snap Affiliate Program Terms will become effective when we post the updated Snap Affiliate Program Terms on our website. You agree to be bound by those updates if you participate in the Snap Affiliate Program after those updates become effective. Except as otherwise set forth in these Snap Affiliate Program Terms or unless expressly agreed in writing signed by Snap, nothing contained in any other agreement will in any way modify, supersede, or add any additional terms or conditions to these Snap Affiliate Program Terms. 

e. If there is a conflict or inconsistency between these Snap Affiliate Program Terms or the Snap Terms of Service, the order of priority will be: these Snap Affiliate Program Terms, and the Snap Terms of Service.

f. Snap may assign these Snap Affiliate Program Terms, including all rights and obligations under these Snap Affiliate Program Terms, to any of its affiliates.

g. You acknowledge that Snap may present these Snap Affiliate Program Terms in a language other than English for your convenience, but that you are only agreeing to the English version of these Snap Affiliate Program Terms. If there is a conflict or inconsistency between these Snap Affiliate Program Terms in English and in any other language, the English version of these Snap Affiliate Program Terms governs.

In Summary: These Snap Affiliate Program Terms do not create an agency or partnership with Snap. In legal actions related to these Snap Affiliate Program Terms, the winning party can recover legal fees. Snap can update the terms anytime, and changes take effect upon posting. If terms conflict, these Snap Affiliate Program Terms take precedence over the Snap Terms of Service. Snap can assign rights under these Snap Affiliate Program Terms to affiliates, and the English version of the terms is authoritative despite any translations.
