Spotlight Challenges Official Rules

Effective: December 20, 2021

NO PURCHASE IS NECESSARY TO ENTER OR WIN.  ONLY THE TOP 50 ENTRIES RECEIVING THE MOST UNIQUE VIDEO VIEWS IN SPOTLIGHT DURING THE CONTEST PERIOD WILL BE JUDGED TO DETERMINE THE WINNERS OF EACH CHALLENGE.

These Snap Spotlight Challenges Official Rules (“Official Rules”) govern your participation in any and all Spotlight Challenges contests (each a “Spotlight Challenge,” “Challenge,” or “Contest”) administered by Snap Inc. (“Sponsor”) on the Snapchat application (“Platform”).  These Official Rules are subject to, and hereby incorporate by reference, the terms set forth in each contest announcement (each a “Contest Announcement” or “Challenge Page”) made via the Snapchat application. Each Contest Announcement shall take the form of a Spotlight Challenge Page (accessed via the trending up symbol on the top right corner of Spotlight within the Snapchat application) and shall indicate the contest period (“Contest Period”) and the potential winnings (“Prizes”) for the applicable Challenge.  Spotlight Challenges are a “Service” as that term is defined in Sponsor’s Terms of Service  and all terms and policies applicable to your usage of the Snapchat application, including but not limited to Sponsor’s Terms of Service, Community Guidelines, Spotlight Submission and Revenue Terms, and Spotlight Guidelines & FAQ (collectively, “Platform Terms”) shall apply. 

ARBITRATION NOTICE: THESE OFFICIAL RULES INCORPORATE BY REFERENCE THE ARBITRATION, CLASS-ACTION WAIVER, AND JURY WAIVER PROVISION, CHOICE OF LAW PROVISION, AND EXCLUSIVE VENUE PROVISION OF THE SNAP INC. TERMS OF SERVICE.  EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THE ARBITRATION PROVISION OF THE SNAP INC. TERMS OF SERVICE, YOU AND SNAP INC. AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY THE MANDATORY BINDING ARBITRATION PROVISION IN THE SNAP INC. TERMS OF SERVICE, AND YOU AND SNAP INC. WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS EXPLAINED IN THAT ARBITRATION CLAUSE.  

ELIGIBILITY: Challenges are only open to individuals who, as of the time and date of entry, (1) are permanent legal residents of one (1) of the fifty (50) United States or the District of Columbia with legal tax residency in same and (2) are 16 years of age or older. You may register for a Snapchat account for free. You may also download the Snapchat application for free by visiting the application store for your mobile device and downloading and installing the Snapchat application. (Data rates may apply; you should consult with your carrier for any fees.)  Employees of Sponsor, its parent, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees are not eligible to win. Without limiting the foregoing, Challenges are open to persons who have been paid to participate in and/or provide services in connection with Challenges. Void in Puerto Rico and other U.S. territories and possessions and where prohibited by law. Challenges are subject to all applicable federal, state and local laws. By participating, you (“Entrant”) are agreeing to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to the Challenges, and acknowledge that any violation of these Official Rules or the Platform Terms may disqualify you from the Challenges.

HOW TO ENTER: To enter, open the Snapchat application and log in to your Snapchat account using your Snapchat username and password. Once you are logged in to your Snapchat account, you may enter a Challenge during the applicable Contest Period by opening the Spotlight Trending Page in the Snapchat application (accessed via the trending up symbol on the top right corner of Spotlight within the Snapchat application), tapping on the applicable Spotlight Challenge Page, and following the in-app prompts for submitting a Snap to such Challenge using the #topic, lens, sound, or Snap tool required for such Challenge (each, a “Challenge Feature”) (“Entry”).  All Entries must be received by the end of the Contest Period for the applicable Challenge, as indicated in the applicable Contest Announcement. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void.  Entries that are deleted from the Snapchat application prior to the conclusion of judging for the applicable Challenge are void. Limit three (3) Entries per Entrant per Challenge for the entire Contest Period, regardless of method of entry. Entries received in excess of the foregoing entry limit will be disqualified. Any attempt by Entrant to submit Entries in excess of the foregoing entry limit by using multiple/different Snapchat accounts, identities, registrations, logins, or any other methods will void that Entrant’s Entries and that Entrant may be disqualified. Each Entry submitted by an Entrant in any Challenge must be substantially different than any other Entry submitted by that same Entrant for the same Challenge. Each Entrant may only utilize a single Snapchat account to submit Entries to a Challenge.  Sponsor will have complete discretion over the interpretation of the Official Rules, Platform Terms, administration of the Challenges, and selection of Winners (defined below), and the decisions of Sponsor will be final and binding in all respects on all Entrants.

REQUIREMENTS OF ENTRIES: Entries may not contain, as determined by Sponsor, in its sole discretion, any content that violates any portion of the Official Rules or Platform Terms, including but not limited to Sponsor’s Community Guidelines.

In order to be eligible, an Entry must be the original work of the Entrant, must be relevant to the Challenge and utilize the applicable Challenge Feature, may not have won previous Prizes, may not duplicate or appear to duplicate any other Entries, must not infringe, violate, or misappropriate any third-party rights, including but not limited to, copyrights (including master, synch, and public performance music copyright rights), trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity, and must comply with all applicable laws, rules, and regulations.  If the Entry contains any material or elements that are not owned by the Entrant, or which are subject to the rights of third parties, the Entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary with respect to the Entry, and making any required payments to any third parties with respect to the Entry, to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry.  Sponsor reserves the right to request proof of such releases, consents, and permissions in a form acceptable to Sponsor from any Entrant at any time. Failure to provide such proof may, if requested, render an Entry null and void.  By submitting an Entry, Entrant warrants and represents that the Entrant and any persons appearing or who are identifiable in the Entry consent to the submission and use of the Entry in the Challenge and to its use as otherwise set forth herein.

By submitting your Entry, you agree that your Entry conforms to these Official Rules and the Platform Terms and that Sponsor, in its sole discretion, may disqualify your Entry for any reason, including if it determines that your Entry fails to conform to these Official Rules or the Platform Terms in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion. 

CONTEST PERIOD: The Contest Period for each Challenge shall be set forth in the applicable Contest Announcement. Sponsor’s computer, or that of its designee, runs the official clock for each Challenge (which shall be calculated using Pacific Time) and will solely determine the time by which an Entry is received. 

WINNER DETERMINATION: Following the conclusion of the Contest Period for a Challenge, all eligible Entries will be ranked according to the total number of unique video views attributable to each Entry in Spotlight during the Contest Period. The top fifty (50) eligible Entries receiving the most unique video views in Spotlight during the Contest Period for such Challenge will be judged by a panel of qualified judges based on the following criteria: (1) originality and creativity, (2) innovative usage of Snapchat creative tools, (3) unique point of view, and (4) entertainment value (the “Criteria”). The Entries that receive the highest scores will be deemed the potential winners. In the event of a tie for any Prize, a tie-breaker judge will judge the tied Entries using the Criteria to determine the winner for that Prize. Sponsor reserves the right to not award a Prize if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries for that Prize. All view counts, rankings, and scores shall be determined solely by Sponsor and based solely on Sponsor’s procedures and calculations. Sponsor may exclude any “Invalid Activity,” i.e., activity that artificially increases the number of views or other viewership metrics of an Entry. Invalid Activity will be determined by Sponsor in its sole discretion at all times and includes, but is not limited to, (i) spam, invalid queries, or invalid impressions generated by any person, bot, automated program or similar device, including through any clicks or impressions originating from Entrant’s mobile device, mobile devices under Entrant’s control, or mobile devices with new or suspicious accounts; (ii) impressions generated by payment of money or other inducements to third parties, false representation, or the offer to trade views of Snaps; (iii) impressions generated through activity that is otherwise in violation of the Official Rules or Platform Terms, and (iv) clicks or impressions co-mingled with any of the activity described in (i), (ii), (iii), and (iv) above. All decisions of the Sponsor and judges are final and binding.  Sponsor will not reveal the judging scores for any Entry.

PRIZES: The Prizes for each Challenge shall be set forth in the applicable Contest Announcement. Winners may not substitute, assign or transfer Prizes, but Sponsor reserves the right, at its sole discretion, to substitute a prize of comparable or greater value. All Prize details, including but not limited to the number of Prizes per Challenge and the amount of Prizes, shall be determined by Sponsor in its sole discretion. Limit one (1) Prize per Entrant per Challenge. Although Sponsor may grant potential winners preliminary Crystals awards in connection with winning Prizes (as described below), all Prizes are awarded and paid in U.S. Dollars.  Prizes are awarded “as is” with no warranty or guarantee, either express or implied. All federal, state and local taxes, if any, and all other costs and expenses associated with Prize acceptance and use not specified herein as being provided are the sole responsibility of the Winners.

WINNER NOTIFICATION & PRIZE COLLECTION:  Potential winners will receive an in-app notification indicating that there is a Prize available to claim and a preliminary Crystals award in connection with winning such Prize. In order to claim Prizes, potential winners must (i) create and complete all necessary requirements for a payment account using Sponsor’s authorized third-party payment provider (“Payment Account”), and (ii) request payment by selecting the relevant option in Entrant’s Snapchat account. 

Crystals are solely a unit of measurement utilized by Sponsor to track and record payment-eligible activities within the Snapchat application during a given period.  The number of Crystals recorded for winning a Prize may vary depending on Sponsor’s internal criteria and formulas, which Sponsor may modify from time to time in its sole discretion. Entrant may view the estimated number of Crystals that Sponsor has recorded for winning a Prize in Entrant’s user profile. Any such numbers viewable through Entrant’s user profile are preliminary estimates calculated for Sponsor’s internal accounting purposes.  Crystals are not intended to confer or imply any rights or represent any obligations, do not constitute property, are not transferable or assignable, and may not be purchased or the subject of a sale, barter, or exchange.

PLEASE NOTE: IF (A) SPONSOR HAS NOT RECORDED AND ATTRIBUTED ANY CRYSTALS TO  ANY PAYMENT-ELIGIBLE ACTIVITY FROM ENTRANT FOR A PERIOD OF ONE YEAR, OR (B) ENTRANT HAS NOT VALIDLY REQUESTED A PAYMENT AS SET FORTH HEREIN FOR A PERIOD OF TWO YEARS, THEN — AT THE END OF THE APPLICABLE PERIOD — SPONSOR SHALL DISBURSE PAYMENT TO ENTRANT’S PAYMENT ACCOUNT IN AN AMOUNT BASED ON ANY CRYSTALS THAT SPONSOR HAS RECORDED AND ATTRIBUTED TO ENTRANT’S PAYMENT-ELIGIBLE ACTIVITY THROUGH THE END OF SUCH PERIOD, PROVIDED THAT IN EACH CASE: (I) ENTRANT HAS REACHED THE MINIMUM PAYMENT THRESHOLD OF $100 USD, (II) ENTRANT HAS CREATED A PAYMENT ACCOUNT, (III) ENTRANT HAS SUPPLIED ALL NECESSARY CONTACT INFORMATION AND ANY OTHER INFORMATION REQUIRED TO EFFECTUATE PAYMENT TO ENTRANT, (IV) SPONSOR HAS NOT YET MADE PAYMENT TO ENTRANT IN CONNECTION WITH ANY CRYSTALS THAT SPONSOR HAS RECORDED AND ATTRIBUTED TO SUCH ACTIVITY, (V) ENTRANT’S SNAPCHAT ACCOUNT AND PAYMENT ACCOUNT ARE IN GOOD STANDING, AND (VI) ENTRANT IS OTHERWISE IN COMPLIANCE WITH THESE OFFICIAL RULES, THE PLATFORM TERMS, AND SPONSOR’S THIRD-PARTY PAYMENT PROVIDER’S PROCEDURES AND TERMS. 

Payments may be made to Entrant on behalf of Sponsor by subsidiary or affiliate entities or other authorized third-party payment providers, which may act as the payor under these Official Rules. Sponsor will not be responsible for any delay, failure, or inability to transfer payments due to any reason out of Sponsor’s control, including Entrant’s failure to comply with these Official Rules or the terms of the applicable Payment Account. Sponsor will not be responsible if, due to any reason out of Sponsor’s control, someone other than Entrant (or Entrant’s parent/legal guardian(s) or business entity, as applicable) requests payment based on any Crystals that Sponsor has recorded and attributed to Entrant’s payment-eligible activity using Entrant’s Snapchat account or transfers payments using Entrant’s Payment Account information. 

If Entrant authorizes Sponsor to transfer payments to a business entity in accordance with Sponsor’s and Sponsor’s authorized third-party payment provider’s procedures, Entrant acknowledges and agrees that Sponsor may transfer any and all amounts payable to Entrant under these Official Rules to such business entity, subject to compliance with these Official Rules. Entrant may elect to withdraw funds from Entrant’s Payment Account in Entrant’s local currency, subject to use, exchange, and transaction fees, as further explained in Sponsor's Crystals Payout Process & FAQ and subject to Sponsor’s third-party payment provider’s terms. Any payment amounts shown in the Snapchat application are estimated values and may be subject to change. The final amounts of any payments will be reflected in Entrant’s Payment Account.

Entrant agrees and acknowledges that Entrant has sole responsibility and liability for any and all taxes, duties, or fees relating to any Prizes Entrant may receive pursuant to these Official Rules. Prizes are inclusive of any applicable sales, use, excise, value added, goods and services or similar tax payable to Entrant. If, under applicable law, taxes are required to be deducted or withheld from any Prizes payable to Entrant, then Sponsor, its affiliate, or its authorized third-party payment provider may deduct such taxes from the amount owed to Entrant and pay such taxes to the appropriate taxing authority as required by applicable law. Entrant agrees and acknowledges that payment to Entrant as reduced by such deductions or withholdings will constitute full payment and settlement to Entrant of amounts payable under these Official Rules. Entrant will provide Sponsor, its subsidiaries, affiliates, and any authorized payment provider with any forms, documents or other certifications as may be required to satisfy any information reporting or withholding tax obligations with respect to any Prizes under these Official Rules. 

WINNER VERIFICATION: Potential winners may be required to execute and return an affidavit of eligibility, liability release, materials release, and/or, unless prohibited, publicity release in a form acceptable to Sponsor (collectively, “Prize Acceptance Releases”). If a potential winner is not of the legal age of majority in their jurisdiction, the Prize Acceptance Releases must be confirmed and signed by such individual’s parent(s) or legal guardian(s).  

An Entrant may not be deemed a winner of any Prize, even if Entrant receives a notification, or Entrant’s Entry is assigned an in-app badge, indicating otherwise, unless and until (i) Entrant’s eligibility has been fully verified; (ii) Entrant is in compliance with these Official Rules and the Platform Terms; (iii) Entrant’s Snapchat account and Payment Account (defined below) are active and in good standing; (vi) Entrant has provided Sponsor and its authorized third-party payment provider with accurate contact and other information as required, so that Sponsor or its third-party payment provider may contact Entrant and cause payment to be made to Entrant (or Entrant’s parent/legal guardian(s) or business entity, if applicable); (v) Entrant has satisfied all requirements determined by Sponsor (or Sponsor’s authorized third-party payment provider) for a Payment Account, including but not limited to the furnishing of parent/legal guardian consent, if applicable, and tax verification information; (vi) Entrant (or Entrant’s parent/legal guardian(s) or business entity, if applicable) has passed Sponsor’s, or Sponsor’s third-party payment provider’s, compliance review, which are conducted periodically and may include, but are not limited to, a check to determine if Entrant appears on any restricted party list maintained by any relevant government authority, including the U.S. Specially Designated Nationals List and Foreign Sanctions Evaders List; and (vii) the Entrant has been notified that the acceptance and verification process is complete. Sponsor reserves the right, on behalf of itself, its affiliates, and its third-party payment provider, to require verification of the contact information provided by Entrant, as well as parental/legal guardian identity and consent for minors, as part of eligibility verification under these Official Rules. 

If an Entrant at any time fails to satisfy, or Sponsor is unable to verify, any of the requirements set forth herein, then such Entrant will not be deemed a winner of the applicable Challenge and will be disqualified. Sponsor may, in its discretion, select an alternate winner.  Prizes to eligible and verified winners (“Winners”) will be paid to each Winner’s Payment Account in accordance with, and subject to, the payment procedures and terms set forth herein. 

PUBLICITY GRANT AND LICENSE/USE OF ENTRIES:  All Entries are “Public Content,” as that term is defined in Section 3 of Sponsor’s Terms of Service.  Entries may be visible to all Snapchat users, as well as non-Snapchat users on other services and websites.  By submitting an Entry, each Entrant grants to Sponsor and its licensees, successors and assigns a worldwide, irrevocable, perpetual, unlimited, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, use, reproduce, publish, distribute, publicly display, exhibit, exploit, publicly perform, modify, adapt, edit, create derivatives of, and otherwise use the Entry and all elements of such Entry, together with any other material, the Prize amount won by such Entry, and the name, user name, city, state, and country of residence, voice, image and/or likeness of Entrant, in any and all media now known or hereafter devised, in any manner, in whole or in part, without compensation or notification to, or permission from, Entrant or any third party, including without limitation, in connection with the advertising, promotion, co-promotion, publicity, and merchandising of Sponsor, Sponsor’s affiliates, and each of Sponsor’s and Sponsor’s affiliates’ products and services. Entrant agrees that, if required by Sponsor, the Entrant will sign documents to this effect (each, a Prize Acceptance Release). Released Parties (defined below) are not responsible for any unauthorized use of Entries by third parties. Sponsor has no obligation to make use of the rights granted herein. 

GENERAL CONDITIONS:  By participating, each Entrant agrees to release, discharge and hold harmless Sponsor and its parents, affiliates, subsidiaries, and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liabilities, losses and damages of any kind to persons, including, without limitation, death or property damage, resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Challenge or any Contest-related activity or the acceptance, possession, use or misuse of any awarded Prize.  

Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled Entries, messages, posts, email or other communications; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Challenges, including, without limitation, errors or difficulties which may occur in connection with the administration of the Challenges, the processing of Entries, the determination of unique views, the announcement of the Prize(s) or in any Challenge-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Challenges.  Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in the Challenge or downloading materials from or use of the Platform.  Persons who tamper with or abuse any aspect of the Challenges or Platform, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules or the Platform Terms, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Challenges be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate any or all of the Contest(s) and, if terminated, at its discretion, select the potential winner(s) from all eligible, non-suspect Entries received prior to action taken using the winner determination procedure outlined above or as otherwise deemed fair and appropriate by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

INFORMATION SUBMITTED: As a condition of entering a Challenge, Entrant gives consent for Sponsor to obtain and deliver Entrant’s name, username, email address, telephone number and other information to third parties for the purpose of administering the Challenges. Any information Entrant provides to Sponsor may be used by Sponsor or such third parties to communicate with Entrant in relation to the Challenges or disclosed on a Winners list.

WINNERS LIST: To receive the name(s) of the Winner(s) for a Challenge (available approximately 1 month after the end of the applicable Contest Period), send an email to: spotlightchallenges@snap.com.

MISCELLANEOUS:  The invalidity or unenforceability of any provision of these Official Rules, the Prize Acceptance Releases, or Platform Terms will not affect the validity or enforceability of any other provision. If any provision of the Official Rules, Prize Acceptance Releases, or the Platform Terms is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision did not exist. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference. If there is a discrepancy or inconsistency between disclosures or other statements contained in any Challenges-related materials or terms, or in these Official Rules, the Official Rules will control, and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
