Snap Creative Services Terms
Effective: January 1, 2024
ARBITRATION NOTICE: YOU ARE BOUND BY THE ARBITRATION PROVISION SET FORTH IN THE BUSINESS SERVICES TERMS. IF YOU ARE CONTRACTING WITH SNAP INC., THEN YOU AND SNAP INC. WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
These Snap Creative Services Terms form a legally binding contract between you and Snap, govern the use of the Business Services for Snap’s creative services program (“Snap Creative Services”), and are incorporated into the Self-Serve Advertising Terms. Some terms used in these Snap Creative Services Terms are defined in the Business Services Terms.
a. Snap Creative Services enable Snap or a partner engaged by Snap (“Production Partner”) to use content you provide to create deliverables for you (each, a “Deliverable”). You and Snap will mutually agree in writing (email acceptable) on the Deliverable, Production Partner (if applicable), due dates, and costs.
b. Snap grants to you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to use and publicly display each Deliverable on Snapchat or on a platform owned and operated by you. Each Deliverable (excluding content you provide), including any improvements, modifications, or derivative works of the Deliverable, are and will remain the sole property of Snap. You may not create any improvements, modifications, or derivative works using or incorporating any Deliverable without obtaining Snap’s prior written approval.
c. Snap represents and warrants that the Deliverable (excluding any content you provide) will not infringe upon or misappropriate any intellectual property rights, and Snap has all necessary licenses, rights, permissions, and clearances (including from any third parties) to grant you the licenses described in these Snap Creative Services Terms.
d. In order to improve the quality and performance of Deliverables, Snap may provide the Production Partner who created the Deliverable with feedback on how the Deliverable performed on Snapchat, including render rate, application time, share rate, save rate, average playtime, other technical metrics about its implementation, and how those metrics compare to Snap’s benchmarks.
You will review each Deliverable and will verify, document, and be responsible for the completeness and accuracy of all information and claims (direct or implied) in each Deliverable concerning your products, services, and promises, as well as any claims about other parties. Upon Snap’s request, you will provide Snap documentation to substantiate any of those claims. You will use the Deliverable in accordance with Applicable Law.
You may cancel a Deliverable upon written notice to Snap, but you will be responsible for any costs incurred by Snap for such Deliverable.
These Snap Creative Services Terms set forth the entire understanding and agreement between you and Snap with respect to Snap Creative Services, and supersede all other agreements between you and Snap regarding Snap Creative Services.
In summary: These terms govern the provision of creative services by us or one of our partners. We own any deliverables, but you will retain ownership of content that you provide for inclusion in a deliverable. You cannot make changes to deliverables without our written consent and you can only use deliverables on Snapchat and your own platform. You are responsible for any claims or other information used in the deliverables.
