ARBITRATION NOTICE: YOU ARE BOUND BY THE ARBITRATION PROVISION SET FORTH IN THE BUSINESS SERVICES TERMS. IF YOU ARE CONTRACTING WITH SNAP INC., THEN YOU AND SNAP INC. WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

These Customer List Audience Terms form a legally binding contract between you and Snap, govern the use of the Business Services for Snap’s audience match program (“Customer List Audience”), and are incorporated into the Business Services Terms. Some terms used in these Customer List Audience Terms are defined in the Business Services Terms.

Customer List Audience enables you to send data to Snap and its affiliates (“Identifier Data”) to create custom audiences (each, an “Audience”). Except as instructed by you, Snap will use Identifier Data and Audiences only to provide you with advertising services, including to target Ads on your behalf. 

Except as required to comply with Applicable Law, or with your prior written consent, Snap and its affiliates: (a) will not use Identifier Data or Audiences for the benefit of any other advertiser; and (b) will not share Identifier Data with third parties. Snap will maintain the confidentiality and security of Identifier Data by maintaining safeguards that are designed to: (y) protect the security and integrity of Identifier Data while it is within Snap’s systems; and (z) guard against the accidental or unauthorized access, use, alteration, or disclosure of Identifier Data within Snap’s systems. If Identifier Data includes any personal data, the Personal Data Terms, including the Data Processing Agreement and U.S. Privacy Terms apply.

You may not make Customer List Audience available to any individual or entity unless Snap enables you to do so via the Business Services, and in that event, you represent and warrant that you will procure that such individual or entity will comply with, and you will remain primarily liable for, any obligations ascribed to that individual or entity under these Customer List Audience Terms. Subject to the restrictions above and in the Business Services Terms, and except as Snap may otherwise approve in writing, you may use Business Services Data that Snap makes available to you in connection with Customer List Audience only for your internal use to manage your advertising campaigns run via the Services or, if you are using Customer List Audience as agent for another entity, to manage that entity’s advertising campaigns run via the Services.

These Customer List Audience Terms set forth the entire understanding and agreement between you and Snap with respect to Customer List Audience, and supersede all other agreements between you and Snap regarding Customer List Audience.

In summary: Your use of Snap’s audience match program is subject to these terms. Where you provide audience data to Snap using Customer List Audience, we will take certain steps designed to maintain the security of that data and we will only use that data in the manner set out above. You may not make Customer List Audience available to others unless we enable you to do so. You may only use data derived from your use of Customer List Audience for internal management of your (or your client's) advertising campaigns.
