ARBITRATION NOTICE: YOU ARE BOUND BY THE ARBITRATION PROVISION SET FORTH IN THE BUSINESS SERVICES TERMS. IF YOU ARE CONTRACTING WITH SNAP INC., THEN YOU AND SNAP INC. WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

These Snap Conversion Terms form a legally binding contract between you and Snap, govern the use of the Business Services for Snap’s conversion program (“Snap Conversion”), and are incorporated into the Business Services Terms. Some terms used in these Snap Conversion Terms are defined in the Business Services Terms.

For purposes of these Snap Conversion Terms and the Business Services Terms, if the entity using Snap Conversion has its principal place of business in France, then “Snap” means Snap Group SAS, or if that entity’s principal place of business is in Australia or New Zealand, then “Snap” means Snap Aus Pty Ltd, even if the entity using Snap Conversion is acting as agent for another entity somewhere else.

Snap Conversion enables you to send data, including about actions taken on your websites or apps or in your stores, to Snap and its affiliates (“Event Data”) through tools like pixels, JavaScript SDKs, APIs, or cookies. Snap and its affiliates may use Event Data to provide the Services, including: (a) to provide you with insights about the use of your products and services; (b) to improve and supplement the Services (including to optimize Snap’s targeting and ad effectiveness); and (c) as permitted under the Privacy Policy. Snap will not allow other advertisers to target advertising based solely on Event Data.

Snap will not share Event Data with third parties except: (w) as required to comply with Applicable Law; (x) if you have provided your prior written consent; (y) to its affiliates, service providers, and agents to improve the Services; or (z) as otherwise permitted under these Snap Conversion Terms. Snap will maintain the confidentiality and security of Event Data by maintaining safeguards that are designed to: (aa) protect the security and integrity of Event Data while it is within Snap’s systems; and (bb) guard against the accidental or unauthorized access, use, alteration, or disclosure of Event Data within Snap’s systems.

You may not make Snap Conversion available to any individual or entity unless Snap enables you to do so via the Business Services, and in that event, you represent and warrant that you will procure that such individual or entity will comply with, and you will remain primarily liable for, any obligations ascribed to that individual or entity under these Snap Conversion Terms. Except as provided in these Snap Conversion Terms or with Snap’s prior written consent, you may use data Snap makes available to you in connection with Snap Conversion only for your internal use to manage your advertising campaigns run via the Services or, if you are using Snap Conversion as agent for another entity, to manage that entity’s advertising campaigns run via the Services; and you agree you will not: (a) publish that data; (b) use that data to create or supplement profiles of any users of the Services; (c) use that data for reengaging any users of the Services in any manner; or (d) sell, rent, transfer, or provide access to that data to any affiliate, third party, ad network, ad exchange, advertising broker, or other advertising service.

In addition to your representations and warranties under the Business Services Terms, you represent and warrant that: (a) you will comply with Applicable Law, applicable self-regulatory standards and guidelines, and iOS and Android platform guidelines (collectively, “Rules”) in your performance under these Snap Conversion Terms; (b) you have secured, and will maintain, all necessary rights, licenses, and consents from all Data Subjects whose data is included in Event Data; (c) Event Data will not contain any sensitive information or special category data, as defined in the Rules, including any information that is based on or includes: (i) an alleged or actual commission of a crime; (ii) health information; (iii) information about individuals you have actual knowledge are under the age of 13 (or, if greater than the age of 13, the minimum age at which the Processing of Personal Data of a Data Subject is lawful under Applicable Law); (iv) information about individuals collected from an online service directed to children; or (v) information about users’ financial status, racial or ethnic origin, religious beliefs or preferences, sex life or sexual preferences, or trade union membership; (d) you will provide sufficient notice to each Data Subject in compliance with the Rules that the Data Subject’s information collected by you or your agents may be shared with and used by third parties for the purposes specified under these Snap Conversion Terms; and (e) you will promptly notify Snap of any actual or threatened complaint relating to Event Data and you will reasonably cooperate with Snap, at your expense, in responding or defending against any such complaint.

The notice you provide your users must include, at a minimum: (a) for websites, a clear and prominent notice on each webpage where you utilize Snap Conversion stating that third parties, including Snap, may use cookies, web beacons, and other technologies to collect or receive information from your websites, apps, and elsewhere on the internet, and may use that information to provide measurement services, ad targeting, and other advertising services; (b) for apps, a clear and prominent link inside your apps’ settings or your privacy policy, and from within any store or website where your apps are distributed, that explains that third parties, including Snap, may collect or receive information from your apps and other apps, and may use that information to provide measurement services, ad targeting, and other advertising services; and (c) a clear and prominent notice about how and where users can opt out of the use of Event Data for ad targeting. In jurisdictions that require informed consent for storing and accessing cookies or other information of a Data Subject (including the European Union), you must ensure, in a verifiable manner, that each Data Subject provides you with the necessary consent before you use Snap Conversion in connection with that Data Subject.

These Snap Conversion Terms set forth the entire understanding and agreement between you and Snap with respect to Snap Conversion, and supersede all other agreements between you and Snap regarding Snap Conversion.
